End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "Licensee") and CTRL Colab LLC ("CTRL Colab", "we", "us") for the A Week From Wednesday software application, including all associated files and documentation (the "Software"). By installing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

Please read Section 9 (Not Financial, Tax, or Legal Advice), Section 10 (Disclaimer of Warranty) and Section 11 (Limitation of Liability) carefully — together they provide the Software "as is", place responsibility for your own records and filings with you, and limit CTRL Colab's liability to you.

1. License Grant

Subject to your compliance with this Agreement and your payment of the applicable fee, CTRL Colab grants you a perpetual, personal, non-exclusive, non-transferable, revocable license to install and use the Software as described below. "Perpetual" means the license does not expire and does not require renewal: the version you purchased will continue to function for as long as you have a compatible computer. It is activated once (Section 2) and thereafter works whether or not you are online, and whether or not our servers are running.

2. Your Serial, and How Activation Works

When you buy the Software we email you a serial number. You enter it once, the first time you run the app on a computer, and the app contacts our licence server to activate it. There is no account to create and no password to manage.

After activation the app works offline. Roughly once a month it checks in the background that the licence has not been refunded or withdrawn, sending only the serial, an anonymous identifier for the computer, and the app version. If it cannot reach us it keeps working — there is no time limit after which it stops, and an outage on our side can never lock you out. The only thing that deactivates a licence is a refund or a chargeback (see the Refund Policy).

The Software does not otherwise contact any server, and sends us nothing about you or your work. See our Privacy Policy for exactly what a licence check contains.

3. Permitted Installations

Your license permits installation and use by you, on up to two computers you own or control — a desktop and a laptop, say — for your own business or personal invoicing. It is a single-user license: each person who uses the Software to prepare their own invoices needs their own license.

The two-computer limit is enforced by the activation described in Section 2. If you replace a machine, or need licenses for a team, a practice, or a facility, contact hello@ctrlcolab.com and we will sort it out.

4. Versions Covered, and Upgrades

Your purchase covers a major version line and every release within it. A purchase of A Week From Wednesday 1.x entitles you to all 1.x releases, including bug fixes and feature updates, at no further cost and for as long as we publish them.

A future major version (for example, 2.0) is a separate product and requires a separate purchase. The version line you bought will continue to run, indefinitely. We are under no obligation to release any particular update.

5. Restrictions

You may not:

  • sell, rent, lease, sublicense, lend, or redistribute the Software;
  • publish, post, or otherwise make the Software available for others to download;
  • remove or alter any copyright, trademark, or other proprietary notice;
  • reverse engineer, decompile, or disassemble the Software, except to the extent that this restriction is prohibited by applicable law.

6. Ownership

The Software is licensed, not sold. CTRL Colab and its suppliers retain all right, title, and interest in the Software, including all intellectual property rights. This Agreement grants you no rights other than the license expressly stated.

Your work is yours. Your invoices, client records, payment history, business details, logo, and exported PDF documents belong entirely to you. We claim no rights in them, and we never receive them — see Section 7.

7. No Data Collection

The Software contains no telemetry, analytics, accounts, or cloud features. The only network requests it makes are the licence activation and periodic validation described in Section 2, which carry your serial, an anonymous machine identifier, the app version and — on activation only — which operating system you are on, and nothing else. Your invoices and client records are stored only in database files on your own computer, in a folder you choose, and your exported PDFs are written only where you choose to save them. This is a design commitment, not a setting: see our Privacy Policy for detail.

Because nothing is stored on our servers, we cannot recover your data for you. Keeping backups is your responsibility; the Software provides a one-click database backup for the purpose.

8. Third-Party and Open-Source Components

The Software incorporates the following third-party components, used under permissive open-source licenses:

  • Python, and the Tcl/Tk toolkit it embeds — Python Software Foundation License, and the Tcl/Tk BSD-style license;
  • CustomTkinter — MIT License;
  • darkdetect — BSD 3-Clause License;
  • Pillow — MIT-CMU (HPND) License;
  • ReportLab (open-source edition) — BSD 3-Clause License;
  • packaging — Apache License 2.0 or BSD 2-Clause License;
  • charset-normalizer — MIT License;
  • Google Material Symbols icons — Apache License 2.0;
  • Liberation Sans 2.1.5, the typeface embedded in generated PDFs — SIL Open Font License 1.1;
  • pyspellchecker and its English word list, used by the in-app spell checker — MIT License.

Each is included in unmodified form. The full text of these licenses is provided with the Software in the licenses folder of the installation directory (on macOS, inside the application bundle at Contents/Resources/licenses). None of these components is licensed under the GPL or LGPL, and no part of the Software is subject to a copyleft source-disclosure obligation.

9. Not Financial, Tax, or Legal Advice

The Software is a document-preparation and record-keeping tool. It is not an accounting system, a bookkeeping service, or a tax-filing product, and it does not provide financial, tax, or legal advice.

In particular, and without limitation:

  • the Software applies whatever tax rate you enter, to the line items you mark as taxable. It does not determine which rate is correct for your jurisdiction, your customer, or the work you are billing for, and it does not update rates when they change;
  • the Software does not verify that an invoice meets the content requirements of any tax authority, nor that its numbering, retention, or format satisfies any statutory obligation that applies to you;
  • the totals, balances, and payment records it produces are calculated from the information you enter, and are only as accurate as that information.

You are solely responsible for the accuracy and legal adequacy of every invoice you send, for the tax you charge and remit, and for your own record-keeping and filings. If you are unsure, consult a qualified accountant or tax adviser in your jurisdiction.

10. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CTRL COLAB DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT IT IS COMPATIBLE WITH ANY PARTICULAR HARDWARE, OPERATING SYSTEM VERSION, OR BUSINESS PROCESS.

You are responsible for maintaining backups of your invoice database and exported documents. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CTRL COLAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR ANY TAX, PENALTY, INTEREST, OR FINE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CTRL COLAB'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

12. Term and Termination

This Agreement takes effect when you first install or use the Software and continues until terminated. It terminates automatically if you materially breach it, in particular by redistributing the Software. On termination you must stop using the Software and remove all copies. Invoices and records you have already created remain yours.

If your purchase is refunded or reversed (including by chargeback), your license terminates and you must stop using the Software. See our Refund Policy.

13. Purchases, Refunds, and Taxes

Orders are processed by Paddle.com Market Limited, which acts as the merchant of record and authorised reseller of the Software. Paddle handles payment, invoicing, and applicable sales tax and VAT/GST. Your purchase is therefore also subject to Paddle's own terms and privacy policy.

Refunds are governed by our Refund Policy.

14. Governing Law

This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located there. If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose consumer-protection laws grant you rights that cannot be waived by agreement, nothing in this Section deprives you of those rights or of the protection of the mandatory laws of your country of residence.

15. General

If any provision of this Agreement is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. This Agreement is the entire agreement between you and CTRL Colab regarding the Software and supersedes any prior understanding. We may update this Agreement for future releases; the version you accepted continues to govern the version you licensed.
