Terms of Service
These terms cover the services around STRUXTURE — this website, the download links, the licence server and support. The software itself is covered by the EULA, and money by the Refund Policy. If they ever disagree about the software or a refund, those documents win.
1. Who we are, and what this covers
These Terms of Service ("Terms") are between you and CTRL Colab LLC ("CTRL Colab", "we", "us"). They govern your use of:
- the STRUXTURE pages at
ctrlcolab.com/struxture; - the download endpoints that serve STRUXTURE builds;
- the licence activation and validation service the app talks to; and
- support provided by email.
Together we call these the "Services". Using any of them means you accept these Terms.
Three things are deliberately not governed here, so you know where to look: your licence to use the software is the End User License Agreement; refunds are the Refund Policy; and what data is handled and how is the Privacy Policy. Where any of those conflicts with these Terms on its own subject, it takes precedence.
2. Eligibility
You must be at least 16 years old, and old enough to enter into a binding contract where you live, to buy STRUXTURE or use the Services. If you are buying for a company, you confirm you are authorised to bind it.
3. Buying, and who sells it
Paddle.com Market Limited is the seller of record. Paddle runs the checkout, takes payment, issues your receipt and invoice, and handles tax. Your card details go to Paddle and never reach us. Paddle's own terms apply to the payment transaction itself.
Prices are shown in US dollars and are exclusive of any tax that Paddle is required to add for your country; the total is shown before you pay. We may change the price of STRUXTURE at any time, but never retroactively — the price you paid is the price you paid, and a later change does not create a further charge.
Your purchase is complete when Paddle confirms the payment. Your serial number is then issued and emailed automatically, usually within a minute or two. If it has not arrived and is not in your spam folder, email hello@ctrlcolab.com and we will send it manually — a delivery failure is our problem to solve, not a reason to buy again.
4. Downloads
The download links we publish, and the links in your purchase email, are permanent addresses that resolve to the current release. They are not gated: you do not need an account or a token to download STRUXTURE, and you can use them to reinstall years from now. The build is inert without a licence, so there is nothing to protect by putting a wall in front of it.
We aim to keep those links working indefinitely, but we do not guarantee that any particular version will remain downloadable forever. If a link you were given ever stops resolving, email us and we will get you the build.
5. The licence service
The activation and validation endpoints exist to make the licence work: they check a serial, enforce the two-computer limit from the EULA §3, and honour revocation after a refund. What they receive is set out in the Privacy Policy §3.
We provide this service on a reasonable-efforts basis and do not promise any level of uptime. That is a smaller commitment than it sounds, by design: the app does not need the service to be up. An unreachable licence server changes nothing about an activated copy — it keeps running normally, indefinitely. You cannot activate a new machine while the service is down, and if that ever happens to you at a bad moment, email us.
You may not interfere with the licence service, attempt to obtain serials you have not paid for, submit fabricated activation requests, or automate access to it other than through the app itself.
6. Support
Support is by email at hello@ctrlcolab.com, in English, on a reasonable-efforts basis. We aim to reply within two business days. There is no paid support tier and no service-level agreement.
Things we will always help with: a serial that has not arrived, a seat that needs freeing after a machine change or a failed drive, a reinstall, a refund, and anything that looks like a bug.
7. Acceptable use
When using the Services, you may not:
- attempt to gain unauthorised access to any part of them, or to any data that is not yours;
- probe, scan, or test their security without our written permission, or attempt to disrupt them by load or otherwise;
- use them to distribute malware, or to host or link to unlawful material;
- scrape, mirror, or republish substantial parts of the site; or
- misrepresent your identity or your affiliation with us.
Good-faith security research is welcome. If you find a vulnerability, please tell us at hello@ctrlcolab.com before disclosing it publicly, and we will not pursue you for having looked.
8. Site content and trademarks
The text, images, screenshots and design of the STRUXTURE pages are owned by CTRL Colab LLC and protected by copyright. You may quote and link to them normally — reviews, articles, and recommendations are all fine, and you do not need to ask. You may not republish them wholesale or present them as your own.
"STRUXTURE" and "CTRL Colab" are our trademarks. You may use them to refer to the product truthfully; you may not use them as your own brand, in a way that suggests we endorse you, or in a domain name.
9. Third-party links and services
Our pages link to third parties, including Paddle for checkout and GitHub for downloads. We do not control those services and are not responsible for their content or their practices. Their terms and privacy policies apply when you are using them.
10. Availability and changes
We may change, suspend, or discontinue any part of the Services at any time, and we may impose limits on them. We will try to give reasonable notice of anything that would materially affect existing customers.
We will not use this clause to disable software you have already bought. The EULA licence is perpetual, and an activated copy of STRUXTURE does not depend on these Services to keep working — see §5.
11. Disclaimer
The Services are provided "as is" and "as available", without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
12. Limitation of liability
To the maximum extent permitted by applicable law, CTRL Colab LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to the Services, on any theory of liability.
Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid us for STRUXTURE, or fifty US dollars if you have not paid us anything.
Nothing here excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
13. Indemnity
You agree to indemnify CTRL Colab LLC against claims, damages and reasonable costs arising from your breach of these Terms or your misuse of the Services. This does not apply to consumers to the extent local law prevents it.
14. Suspension and termination
We may suspend or terminate your access to the Services if you materially breach these Terms — in practice, for abuse of the licence service or of the site under §7. Where the breach is fixable and not deliberate, we will tell you and give you a chance to fix it first.
Terminating access to the Services does not by itself end your EULA licence, and we would not use it as a backdoor way of doing so. Revocation of a licence happens only for the reasons given in the EULA §7.
15. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in California will have jurisdiction over any dispute.
If you are a consumer, this does not deprive you of the protection of the mandatory consumer-protection rules of the country where you live, and it does not remove your right to bring proceedings there where local law gives you that right.
Before filing anything, please email us. Nearly everything at this scale is a misunderstanding that a reply can fix.
16. General
If any provision of these Terms is held unenforceable, the rest remain in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor in connection with a merger or sale of the business.
These Terms, together with the EULA, the Privacy Policy and the Refund Policy, are the entire agreement between us regarding the Services.
17. Changes to these terms
We may update these Terms. The version number and effective date in the header above change when we do, and material changes will be noted on this page. Continuing to use the Services after a change means you accept the updated Terms.
