End User License Agreement
In plain language: you are buying STRUXTURE once, for $5.99. It works on two of your own computers, on Windows or macOS or one of each. Every update in the 1.x line is included. The folder structures you build, the presets you save and the template files you bring in are yours — this licence covers our software, not your work, and nothing you make with it belongs to us.
1. This agreement
This End User License Agreement ("Agreement") is between you and CTRL Colab LLC ("CTRL Colab", "we", "us"), and it governs your use of the STRUXTURE desktop application and any updates we provide for it (together, the "Software").
You accept this Agreement by installing or using the Software. If you do not accept it, do not install it — and if you have already paid, ask for a refund under the Refund Policy, which gives you fourteen days for any reason.
If you are entering into this Agreement on behalf of a company, you confirm you have the authority to do so, and "you" means that company.
2. What you are granted
A perpetual, non-exclusive licence to use STRUXTURE 1.x for any purpose, personal or commercial.
"Perpetual" means the licence does not expire and there is nothing to renew. It is a one-time purchase, not a subscription. Commercial use is included at no extra cost and needs no separate agreement: if you use STRUXTURE to set up client projects, that is exactly what it is for.
The licence is granted to you when your payment completes, and it is yours to keep, subject to §7 (Refunds and revocation) and §8 (What you may not do).
3. Permitted installations
Two (2) computers.
One purchase of STRUXTURE may be installed and activated on up to two computers that you own or that are assigned to you. A desktop and a laptop is the case we had in mind. The two may be any mix of platforms — two Windows machines, two Macs, or one of each — because the licence covers the product, not the operating system.
This number is enforced. Unlike a term you simply agree to, the seat count is checked when a copy is activated: a third machine will be refused. If you replace a computer, retire a machine, or have a drive fail, email hello@ctrlcolab.com and we will free the seat. We are not going to make you buy a second licence because a laptop died — just tell us.
The licence is for one person (or, for a company purchase, one named user). It is not a floating or site licence. If you need STRUXTURE for a team, email us and we will sort out something sensible rather than asking everyone to buy singly.
4. Updates included
Every 1.x release.
Your purchase includes all updates we publish in the 1.x version line — 1.0.1, 1.1, 1.4, and so on — at no additional cost, for as long as we publish them. Bug fixes and new features both count; we do not hold features back for a paid tier within a major line.
A future 2.0 is not included. If and when there is one, existing 1.x customers will be offered an upgrade path, and we will say clearly what it costs before you have to decide anything. We are not going to make 2.0 a surprise.
We are not obliged to publish any particular update, or to support the Software indefinitely. What you have bought is a copy that works, not a promise of perpetual development.
5. Activation and the licence check
One online activation, then it works offline.
You will receive a serial number by email when you buy. Entering it in the Software performs a single activation request to our server, which returns a signed confirmation tied to that computer. The Software stores that confirmation and verifies it locally from then on.
After activation, STRUXTURE re-checks the licence roughly once a month, in the background, when it happens to have a connection. Three outcomes, and we would rather spell them out than leave you guessing:
- Valid — nothing happens, the check is silent.
- Revoked (a refund or chargeback, see §7) — the Software stops and asks for a serial again.
- No answer at all — nothing happens. Being offline is never treated as a problem. A machine that never touches the internet again keeps working indefinitely, and an outage on our side cannot lock you out of software you paid for.
What this check sends and does not send is set out in the Privacy Policy §3, and it is deliberately close to nothing: your serial, a non-reversible hash identifying the machine, and the app version. It never sends your presets, your folder structures, your template files, or any file path.
6. Your work is yours
We claim nothing in anything you make.
The folder structures you design, the presets you save and export, the template files you import into your library, and every project folder STRUXTURE generates on your disk are entirely yours. This Agreement gives us no ownership, no licence, and no rights whatsoever in any of it.
That includes presets you share with other people. A .json preset you export and send to a colleague is your file to distribute however you like — the preset format is not licensed content, and we do not restrict what you do with the structures you build.
It also includes template files. When you import a .psd, .aep, .c4d or any other file into your template library, STRUXTURE stores an independent copy on your own computer. That copy is yours, it never leaves your machine, and whatever rights you held in the original you still hold.
The Software ships with a small number of example presets. Those are provided for you to use, modify, or delete as you see fit, with no attribution required.
7. Refunds and revocation
The Refund Policy gives you fourteen days from purchase, for any reason, without justification.
When a refund or a chargeback is processed, the licence granted by this Agreement ends, and the serial is revoked. Each activated copy finds out at its next licence check — within about a month — and then asks for a serial again, as described in §5. You should uninstall the Software at that point.
Your work is not affected by any of this, and we want to be explicit about it: your presets, your template library and every project folder you have generated stay exactly where they are on your disk. A refund ends a software licence; it does not reach into your files. Presets are plain JSON and the template library is ordinary files in a folder, both readable without STRUXTURE, so a refund can never lock you out of your own structures. Their locations are listed in the Privacy Policy §2.
If a licence stops working and you did not ask for a refund, that is a mistake on our side. Email hello@ctrlcolab.com and we will fix it.
8. What you may not do
You may not:
- Share, sell, sublicense, rent, or publish your serial number, or use one serial beyond the two computers permitted in §3.
- Circumvent, disable, or tamper with the activation or licence check described in §5, or distribute tools or instructions for doing so.
- Reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits it despite this restriction — several jurisdictions do, and where yours does, this clause does not override it.
- Remove or alter any copyright, trademark, or licence notice in the Software.
- Redistribute the Software itself, modified or unmodified, as your own product or as part of one.
Sharing a preset is not on this list, and that is deliberate. Presets are your work (§6); the restriction is on the Software and on your serial.
9. Ownership
The Software is licensed, not sold. CTRL Colab LLC and its licensors retain all right, title, and interest in the Software, including all intellectual property rights in it. Nothing in this Agreement transfers ownership of the Software to you.
This section concerns our software only. It does not touch your work, which is dealt with in §6.
10. Third-party components
STRUXTURE is built with open-source components, including the Tauri application framework, the Rust standard library and crates ecosystem, and the React user-interface library. These are used under their own permissive licences (MIT, Apache-2.0 and similar), which grant the rights we rely on and require attribution rather than payment.
The Software also bundles the JetBrains Mono and Material Icons typefaces under the SIL Open Font License and the Apache License 2.0 respectively; their licence texts ship with the Software.
No component of the Software is licensed to you under a copyleft licence that would give you rights in, or obligations regarding, the Software as a whole. If that ever changes in a future release, the corresponding source obligations will be met and stated here.
11. Disclaimer of warranties
The Software is provided "as is", without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
One specific we would rather state than bury: STRUXTURE creates, copies and writes files on your computer, and it writes them to destinations you choose. It is not a backup tool and it makes no guarantee about the integrity of your disk. Keep backups of work that matters to you — that advice would be true whatever software you were running.
Some jurisdictions do not allow the exclusion of implied warranties, so some or all of this section may not apply to you.
12. Limitation of liability
To the maximum extent permitted by applicable law, CTRL Colab LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to the Software or this Agreement, on any theory of liability, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Software or this Agreement will not exceed the amount you actually paid for the Software.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Some jurisdictions do not allow certain limitations of liability, so some or all of this section may not apply to you.
13. Term and termination
This Agreement takes effect when you first install or use the Software and continues until terminated.
It terminates automatically if you materially breach §8 (What you may not do), and it terminates on refund or chargeback as described in §7. You may terminate it at any time by uninstalling the Software and deleting your copies.
Sections 6 (Your work is yours), 9 (Ownership), 11 (Disclaimer of warranties), 12 (Limitation of liability), 14 (Governing law) and this section survive termination.
14. Governing law
This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in California will have jurisdiction over any dispute arising from it.
If you are a consumer, this does not deprive you of the protection of the mandatory consumer-protection rules of the country where you live, and it does not remove your right to bring proceedings there where local law gives you that right.
15. Changes to this agreement
We may revise this Agreement for future releases of the Software. Changes do not apply retroactively to a copy you have already bought: the version of this Agreement in effect on the date of your purchase governs your licence, and it will remain available from us on request.
A revised Agreement will carry a new version number and effective date in the header above.
